Términos del Programa de Influencers

These Influencer Program Terms (the "Terms") are an agreement between you and FieldSub, Inc., a Delaware corporation ("FieldSub," "we," "us"). By checking the acceptance box when you create an influencer account, you agree to these Terms, our Terms of Use, and our Privacy Policy.

1The Program

The FieldSub Influencer Program lets you earn cash commissions by referring customers to FieldSub. When you join, you receive a personal referral code, a free demo workspace for showcasing FieldSub to your audience, and access to commission payouts as described below.

2Eligibility

To participate you must:

  • be at least 18 years old;
  • be based in the United States, and hold a US bank account for payouts;
  • complete identity and tax verification through our payment partner, Stripe, before receiving any payout;
  • provide accurate information at signup and keep it current.

We may accept or decline any application, and may require additional verification at any time.

3Referral Code and Demo Workspace

Referral code

Your code is personal to you. A customer is attributed to you only when they enter your code at account creation — attribution is not applied retroactively.

Demo workspace

Your demo workspace is provided free of charge for demonstrating FieldSub. It is for demonstration only: you may not use it to run a real business, store real customer data, or transact with real customers. We may reset, limit, or reconfigure demo workspaces, and the demo workspace is deleted when you leave the Program.

4Commissions

4.1 Rate

You earn 3% of each subscription payment FieldSub actually collects from a referred customer, including per-seat charges. One-off charges, taxes we collect, and amounts that are refunded do not earn commission.

4.2 Earning window

Commissions accrue on subscription payments made within 12 months of the referred customer's first paid invoice, measured separately for each referred customer. Payments after that window earn nothing.

4.3 Hold period

Each commission is held for 30 days after the underlying payment before it becomes payable.

4.4 Refunds and clawbacks

If a referred customer's payment is refunded (in whole or in part) or charged back:

  • before the related commission is paid to you, the commission is cancelled or reduced proportionally;
  • after it has been paid to you, the corresponding amount is deducted from your future payouts. A negative balance carries forward until offset by new commissions.

4.5 Referral points

Participation in this Program does not affect your rewards under FieldSub's standard referral program, which continue under that program's own terms.

5Payouts

5.1 Method

Payouts are made in US dollars through Stripe to the US bank account you link during Stripe onboarding. You must complete Stripe's onboarding (including tax information) before any payout can be made.

5.2 Schedule and minimum

Payouts run monthly, with a $25 minimum. Balances below $25 roll over to the next month. If no bank account is linked, your balance simply accrues until one is.

5.3 Errors

If we pay you an amount you were not entitled to, we may deduct it from future payouts or require repayment.

5.4 Unclaimed balances

If you leave the Program with a balance we cannot pay out (for example, because no bank account was ever linked), we will hold it and make reasonable attempts to contact you. Balances that remain unpayable for twelve (12) months after you leave the Program may be forfeited, except where applicable unclaimed-property law requires otherwise.

6Prohibited Conduct

You may not:

  • refer yourself, your own business, or accounts you control;
  • create or induce fake, fraudulent, or non-genuine signups, or use stolen payment credentials;
  • pay, rebate, or otherwise incentivize signups except as we expressly permit in writing;
  • send spam or unsolicited bulk communications containing your code;
  • make false or misleading claims about FieldSub, its pricing, or its features;
  • misrepresent your relationship with FieldSub.

7Fraud, Investigation, and Payout Freezes

We may freeze payouts while we investigate activity that reasonably appears to violate these Terms, and may void commissions (and recover amounts already paid) that arise from prohibited conduct. We may report fraudulent activity to payment providers and law enforcement.

8Leaving the Program

8.1 By you

You may deactivate your influencer account at any time in the app.

8.2 By us

We may remove you from the Program for violation of these Terms, or upon ending the Program.

8.3 Effect

When you leave: your demo workspace and its data are permanently deleted; no new commissions accrue on future referrals; and — except for commissions voided under Section 7 — commissions already earned continue to mature and pay out on the normal schedule, subject to the hold, minimum, and clawback rules above.

9Publicity and FTC Compliance

You must clearly disclose your material connection to FieldSub in any content that includes your referral code or promotes FieldSub (for example, #ad or #sponsored), in compliance with the FTC's Endorsement Guides and the rules of each platform you post on.

We grant you a limited, revocable, non-exclusive license to use FieldSub's name and logo solely to promote FieldSub under these Terms, consistent with any brand guidelines we provide. You may not register domain names, social-media handles, or ad keywords consisting of or confusingly similar to FieldSub trademarks.

10Relationship and Taxes

You are an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship, and you may not bind FieldSub. You are responsible for your own taxes. Tax information is collected through Stripe onboarding, and FieldSub (through Stripe) will issue IRS Form 1099 where required by law.

11Changes and Termination of the Program

We may modify these Terms — including the commission rate, window, hold, minimum, and payout schedule — prospectively by giving notice (email or in-app). Changes do not reduce commissions already earned. Your continued participation after notice is acceptance. We may suspend or end the Program at any time; commissions earned before the end date (other than those voided under Section 7) are honored under Section 8.3.

12Disclaimers and Limitation of Liability

The Program and the demo workspace are provided "as is." To the maximum extent permitted by law, FieldSub's total liability arising out of the Program is limited to the commissions paid or payable to you in the twelve (12) months preceding the claim. The disclaimers and limitations of liability in the FieldSub Terms of Use also apply to the Program.

13General

  • Governing law: the State of Delaware, without regard to its conflict of laws principles.
  • Disputes: any dispute arising out of the Program is resolved as set forth in the Dispute Resolution section of the FieldSub Terms of Use — binding individual arbitration in New Castle County, Delaware, with a waiver of class actions.
  • Assignment: you may not assign these Terms; we may assign them to an affiliate or successor.
  • Severability: if any provision is unenforceable, the rest remain in effect.
  • Entire agreement: these Terms plus the FieldSub Terms of Use and Privacy Policy are the entire agreement for the Program; if they conflict, these Terms control for Program matters.
